Terms of Service

1. What the Platform Is (and Isn't)

AAA RealEstate is an online listing platform. We provide the technology that lets agents publish property listings and lets buyers and renters browse and contact those agents. We are not a real estate agency, broker, letting agent, surveyor, valuer, or lawyer. We are not a party to, and do not participate in, any sale, tenancy, shortlet booking, or other transaction between a buyer and an agent. Any agreement reached regarding a property is solely between the buyer and the agent.

2. Eligibility & Accounts

You must be at least 18 years old and capable of forming a binding contract under Nigerian law to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account, whether or not authorized by you. You must notify us immediately of any unauthorized use. We reserve the right to refuse registration, or to suspend or terminate any account, at our sole discretion, including where information provided at signup is false, incomplete, or misleading.

3. Agent Obligations

By registering as an agent and/or posting a listing, you represent, warrant, and agree that:

• You have the legal right to market the property listed — as the owner, or as an agent with valid, current authorization from the owner.
• All information in the listing (price, location, specifications, availability, images) is accurate, current, and not misleading, and that photographs are of the actual property and not stock images or images of a different property.
• You will not post the same property, or substantially the same property, more than once, and will mark a listing sold/rented/expired promptly once it is no longer available.
• You are solely responsible for any representation you make to a buyer, whether on the Platform, by phone, by WhatsApp, or in person, and for the accuracy of any documents (title, C of O, tenancy agreement, etc.) you present.
• You will comply with all applicable Nigerian laws, including those governing real estate transactions, land use, taxation, and consumer protection, and will hold all licenses/registrations required by law to carry out your activity.
• You will not use buyer contact information obtained through an inquiry for any purpose other than responding to that inquiry, and will not sell, rent, or share buyer data with third parties.

A breach of any of the above is a material breach of these Terms and grounds for immediate listing removal and/or account suspension without refund, in addition to any other remedy available to us.

4. Verification & KYC Disclaimer

We may request identity documents, CAC registration, or other verification materials from agents, and may display a "Verified" badge where an agent has supplied and passed this review. This badge reflects that certain documents were submitted and reviewed at a point in time — it is not a guarantee, certification, or warranty by us of the agent's honesty, financial standing, ongoing legal compliance, or the legitimacy of any specific listing or transaction. Verification does not create an agency, partnership, or employment relationship between the agent and AAA RealEstate, and we are not liable for any loss arising from reliance on the "Verified" badge or any other trust signal on the Platform.

5. Listing Content & License

You retain ownership of the text, photographs, and other content you submit ("Listing Content"). By submitting Listing Content, you grant AAA RealEstate a worldwide, royalty-free, non-exclusive, sublicensable license to host, display, reproduce, adapt (e.g. resize or compress images), distribute, and promote that content on the Platform and in connected marketing (including search engine results, social media, and email) for as long as the listing remains active and for a reasonable period after removal for caching, backup, and legal-record purposes. You confirm you own or have the necessary rights to grant this license for all content you submit, and that it does not infringe any third party's copyright, trademark, privacy, or other rights.

6. Prohibited Conduct

Without limiting anything else in these Terms, you agree not to:

• Post false, fraudulent, duplicate, or misleading listings, or listings for properties you have no right to market;
• Scrape, crawl, harvest, or bulk-extract data from the Platform by any automated means without our prior written consent;
• Attempt to bypass, probe, or circumvent any security, authentication, rate-limiting, or access-control measure on the Platform;
• Upload any file containing malicious code, or attempt to gain unauthorized access to any account, system, or data;
• Use the Platform, or any contact information obtained through it, to send unsolicited marketing, spam, or phishing communications;
• Impersonate any person or entity, or misrepresent your affiliation with one;
• Post content that is unlawful, defamatory, obscene, discriminatory, or that infringes any third party's intellectual property or privacy rights;
• Use the Platform for any purpose that violates Nigerian law or the law of any jurisdiction from which you access it.

We may investigate suspected violations and may remove content, suspend accounts, and/or report conduct to law enforcement, at our sole discretion and without prior notice.

7. Payments, Plans & Refunds

Agent subscription plans and featured-listing "boost" payments are processed through Paystack. By making a payment you authorize us to charge the applicable fee. Except where required by Nigerian consumer protection law, or where we expressly state otherwise in writing, all payments are non-refundable, including where an account is suspended for breach of these Terms, where a listing is rejected during moderation review, or where a plan or boost period is only partially used. We reserve the right to change plan pricing, features, and featured-slot allowances at any time; changes will not retroactively affect a period already paid for.

8. No Liability for Transactions

AAA RealEstate is not involved in, and accepts no responsibility or liability for: the negotiation, execution, or performance of any sale, tenancy, or shortlet agreement; the condition, title, legal status, or fitness for purpose of any property listed; any payment, deposit, or transfer of funds made directly between a buyer and an agent outside the Platform's payment system; or any loss, dispute, fraud, or criminal act arising from a buyer or agent's conduct off-platform. You are strongly advised to conduct independent due diligence — including physical inspection and independent legal review of title documents — before making any payment or entering any agreement in connection with a property found on the Platform.

9. Disclaimers of Warranty

THE PLATFORM AND ALL CONTENT ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, OR UNINTERRUPTED/ERROR-FREE OPERATION. WE DO NOT WARRANT THAT ANY LISTING IS ACCURATE, CURRENT, OR THAT ANY AGENT IS WHO THEY CLAIM TO BE.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY NIGERIAN LAW, AAA RealEstate AND ITS OWNERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OPPORTUNITY, ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM, ANY LISTING, OR ANY TRANSACTION OR DEALING WITH ANOTHER USER, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. WHERE LIABILITY CANNOT BE EXCLUDED, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO US IN THE 6 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ₦50,000.

11. Indemnification

You agree to indemnify, defend, and hold harmless AAA RealEstate, 3 A First Realtor Ltd, and its directors, employees, and agents from and against any claim, demand, loss, liability, damage, cost, or expense (including reasonable legal fees) arising out of or related to: your Listing Content; your breach of these Terms; your violation of any law or third-party right; any transaction or dispute between you and another user; or your use or misuse of the Platform. This obligation survives termination of your account.

12. Intellectual Property

The Platform's design, code, logos, "AAA RealEstate" branding, and all associated intellectual property (excluding user-submitted Listing Content) are owned by 3 A First Realtor Ltd and protected under Nigerian and international intellectual property law. You may not copy, reproduce, modify, or create derivative works from any part of the Platform without our prior written consent.

13. Suspension & Termination

We may suspend or terminate your account, or remove any listing, at any time and at our sole discretion, with or without notice, for any reason including a suspected breach of these Terms, suspected fraud, or a legal or regulatory request. On suspension of an agent account, approved listings may remain publicly visible unless we determine removal is warranted; login access is revoked regardless. You may close your own account at any time by contacting us. Sections 3, 4, 5, 6, 7, 8, 9, 10, 11, 12, 14, and 16 survive termination of your account for any reason.

14. Governing Law & Disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising out of or relating to these Terms or your use of the Platform shall first be addressed by written notice to support@aaarealestate.ng, and the parties shall attempt in good faith to resolve it within 30 days. Failing resolution, the dispute shall be subject to the exclusive jurisdiction of the courts sitting in Lagos State, Nigeria.

15. Changes to These Terms

We may update these Terms from time to time. Where changes are material, we will make reasonable efforts to notify registered users (e.g. by email or an in-app notice) before the change takes effect. Continued use of the Platform after a change becomes effective constitutes acceptance of the updated Terms. The "Last updated" date above always reflects the current version.
